Terms of service
The agreement between you and Resolva Insights Private Limited for using Draaftly.
- Status
- Draft, under legal review
- Last updated
- 17 October 2026
- Applies to
- draaftly.com, the Draaftly platform and Hisaab
1. Who this is between
These terms are between Resolva Insights Private Limited, of Amravati, Maharashtra, India (“Draaftly”, “we”), and the person or organisation that opens an account or buys from us (“you”). They cover the Draaftly platform, Hisaab by Draaftly and our website. Work our team does for you under a separate written scope — research, consulting or software development — is governed by that scope and these terms together, with the scope winning if the two disagree.
2. Your account
You need an account to use the platform or Hisaab. You are responsible for who you let in, for keeping credentials safe, and for what happens under your account. Tell us promptly if you think someone has got in who should not have. Accounts are for the organisation that opened them; you can add and remove your own people within the limits of your plan.
3. Plans, credits and payment
Platform plans are subscriptions with a monthly allowance of credits. A credit is used when Draaftly does work for you: gathering and recording evidence, running the calculation engine, or producing a deliverable. There is no unlimited plan. Hisaab plans are sold per outlet, in rupees, as set out on the pricing page.
Fees are payable in advance for each billing period and are exclusive of taxes, which are added where they apply. Prices on our website may change; a change applies to you from your next billing period, and we will tell you beforehand. If payment fails we may suspend access after telling you, and we will restore it once payment is made.
4. What you put in, and what comes out
Your documents, data, evidence, assumptions and the deliverables Draaftly produces for you are yours. You keep all rights in them. You grant us only the permission we need to host, process and transmit them in order to run the service for you, and for no other purpose. We do not use them to train AI models, and we do not use them for other customers. The data processing agreement governs personal data inside that material.
You are responsible for having the right to upload what you upload, and for complying with any licence attached to material you bring in — subscription research, for example. Output is produced by software, including AI models, and must be reviewed by a competent person before you rely on it or send it to anyone. See theAI disclosure.
5. What Draaftly is not
Draaftly is a tool for preparing work. It is not professional advice. Nothing it produces is financial, investment, legal, tax or accounting advice, and no part of it is a promise that a lender, investor, authority or client will accept a document or approve a project. Those decisions belong to other people, and the responsibility for what you submit remains yours and your reviewers’.
6. Using it properly
The acceptable use policy forms part of these terms. In short: do not break the law with it, do not try to reach another customer’s data, do not attack or overload the service, and do not pass off unreviewed output as verified fact.
7. Availability and support
We work to keep the service available and will give notice of planned maintenance where we reasonably can. The platform is in early access, which means features change, things occasionally break, and we fix them. We do not offer a contractual uptime commitment at this stage; where an enterprise customer needs one, it is agreed in writing separately.
8. Our obligations to you
- We will provide the service with reasonable skill and care.
- We will apply the security measures described on our trust page, and improve them as the product matures.
- We will not access your content except as needed to run the service, to deal with a problem you have raised, or where the law requires it. Where access is needed it is time-limited and recorded.
- We will tell you without undue delay if a security incident affects your data.
9. Confidentiality
Each of us may learn things about the other that are not public. Neither of us will disclose the other’s confidential information, except to people who need it and are under similar obligations, or where the law requires it. This survives the end of the agreement.
10. Intellectual property in the service
We keep all rights in the Draaftly and Hisaab software, our brands and our documentation. You may not copy, reverse engineer or resell the service, or use it to build a competing product. Feedback you give us we may use freely, without obligation to you and without it affecting your rights in your own content.
11. Liability
The liability position — caps, excluded losses and any carve-outs — is being settled with our advisers and is a question for them, not for us to draft here. It will be stated in full, in plain words, before these terms take effect. Nothing we agree will limit liability that cannot lawfully be limited, such as for death or personal injury caused by negligence, or for fraud.
12. Ending the agreement
You can stop at the end of a billing period; see refunds and cancellation. Either of us may end the agreement if the other commits a serious breach and does not put it right within a reasonable time after being told. We may suspend an account immediately where there is a security risk or unlawful use, and we will tell you why.
After the agreement ends you can export your data for a reasonable period, then we delete it as described in theprivacy notice. You can ask us to delete it sooner.
13. Changes to these terms
We may change these terms. If a change matters to you, we will tell you before it takes effect, and you may stop using the service if you do not accept it.
14. Law and disputes
Governing law and the forum for disputes are open questions for our advisers, who need to weigh customers in India, the EU, the UK and the Gulf. They will be stated here before these terms take effect, together with anything consumer law requires us to keep available to people in particular countries.
15. Talking to us
Write to hello@draaftly.com. We would much rather hear about a problem early than read about it in a notice period.
